Terms of Service

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity.

2. Description of Service

Evolve Review provides tools to help walk-in businesses collect Google reviews, manage private customer feedback, and display a digital menu — all via a single QR code. Features include:

• QR code customer hub (menu and review access in one link)
• Private feedback capture with instant owner alerts
• AI-generated responses shown to customers on-screen
• Digital menu with item analytics
• Analytics dashboard
• Coupon reward system
• QR sticker ordering (optional physical product, fulfilled manually)

We may modify, improve, or discontinue features at any time.

3. Account Registration

You agree to provide accurate and complete information when creating an account and to keep it updated.

You are responsible for safeguarding your login credentials and for all activity under your account.

4. Subscriptions and Billing

4.1 Free Trial

We may offer a free trial period. Your card is collected at signup but you will not be charged until the 14-day trial ends. Cancel anytime before then and you will not be billed.

At the end of the trial, your subscription activates automatically. If you do not wish to continue, cancel before the trial ends.

We reserve the right to modify or terminate free trial offers at any time.

4.2 Subscription Fees

The Service is offered on a monthly or annual subscription basis. Fees are billed in advance on a recurring basis. Current pricing is displayed on our pricing page.

All payments are processed by Stripe. Fees are non-refundable except as required by law.

We reserve the right to change pricing with reasonable notice to existing subscribers.

5. Physical Product Orders (QR Stickers)

We offer optional QR sticker orders as a one-time purchase. By placing a sticker order you agree to the following:

• All sticker orders are final. We do not offer refunds or exchanges once an order is placed.
• You are responsible for providing an accurate shipping address. We are not liable for orders lost or undelivered due to incorrect address information.
• Orders are fulfilled manually and typically ship within a week of payment confirmation.
• Shipping timelines are estimates and may vary. We do not guarantee specific delivery dates.

6. Acceptable Use

You agree not to:

• Use the Service for unlawful purposes
• Upload customer data without proper consent
• Send unsolicited or non-compliant communications
• Attempt to disrupt or interfere with the Service
• Reverse engineer or copy the platform

We may suspend or terminate accounts that violate these Terms.

7. Customer Data and Compliance

You are solely responsible for:

• Obtaining all required rights and consents before collecting customer data through the Service
• Complying with GDPR, CCPA, and other applicable privacy and consumer protection laws

We act only as a service provider processing data at your direction.

8. Webhook and API Access

Webhook and API functionality is available on the standard subscription plan.

You agree that:

• You will use webhook/API access only for authorized and lawful purposes.
• You are responsible for the accuracy, legality, and integrity of all data transmitted via webhook or API.
• You will not exceed reasonable rate limits or attempt to disrupt the Service.

We may impose technical limits or suspend access if usage threatens platform stability.

9. Third-Party Services

The Service relies on third-party providers, including:

• Clerk
• Stripe
• Resend
• OpenAI
• Supabase
• Vercel

We are not responsible for the independent actions or policies of these third parties.

10. Intellectual Property

All rights, title, and interest in the Service remain the property of Evolve Review.

You retain ownership of your uploaded customer data.

11. Termination

We may suspend or terminate your access if you violate these Terms.

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle unless otherwise stated.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

We do not guarantee:

• Increased reviews or specific business outcomes
• Uninterrupted or error-free operation

13. Limitation of Liability

To the maximum extent permitted by law, Evolve Review shall not be liable for indirect, incidental, consequential, or special damages.

Our total liability shall not exceed the amount paid by you in the preceding 12 months.

14. Indemnification

You agree to indemnify and hold harmless Evolve Review from claims arising out of:

• Your violation of these Terms
• Your failure to obtain required customer consent
• Your misuse of the Service

15. Governing Law

These Terms are governed by the laws of the United States and the state in which the Company is incorporated, without regard to conflict-of-law principles.

16. Changes to These Terms

We may update these Terms periodically. Continued use of the Service after updates constitutes acceptance of the revised Terms.
